Terms of Service

1. Definitions

  • Service - the Cronitorex web application, API, dashboard, and related software made available at cronitorex.com and its subdomains.
  • User / you - any natural person or legal entity that creates an account or uses the Service.
  • Account - the personal access to the Service identified by your email address.
  • Subscription - a paid plan granting access to features beyond the Free tier.
  • Payment Provider - Paddle.com Market Ltd, our Merchant of Record (see Section 4).
  • Operator / we / us - Prosoftware.pl Dominik Ćwiklik, Wola Łużańska 208, 38-322 Wola Łużańska, Tax ID PL7381984964, registered under number (REGON) 120765474.

2. Acceptance

By creating an Account or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms of Service, the Privacy Policy, the Acceptable Use Policy, the Refund Policy, and the Cookie Policy. If you do not agree, do not use the Service.

If you use the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

3. Account and user responsibilities

You must provide a valid email address and a strong, unique password. You are responsible for safeguarding your credentials and for all activity that occurs under your Account.

You may rotate your API key at any time from the profile settings. Your previous key stops working immediately when a new one is generated.

One natural person or legal entity per Account. Sharing credentials with third parties outside your organisation is prohibited.

4. Subscriptions, pricing, billing

The Service is offered in tiered plans (Free, Starter, Pro, Business). Plan features and prices are listed at /pricing.

The Free plan is available without payment, subject to limits described on the pricing page. Paid plans renew automatically on a monthly or annual cycle until cancelled.

Paddle.com Market Ltd (company number 8172182, registered office Judd House, 18-29 Mora Street, London EC1V 8BT, United Kingdom) acts as our authorised reseller and Merchant of Record. The Payment Provider processes all payments, issues invoices, handles VAT and applicable sales taxes, and manages refunds and chargebacks. Your contractual counterparty for the payment transaction is the Payment Provider; your contractual counterparty for the Service is the Operator.

Prices are displayed in USD by default; the Payment Provider may display local currency at checkout and apply VAT or sales tax according to your billing location.

Purchases made through the Payment Provider are additionally subject to the Paddle Checkout Buyer Terms. Charges appear on your card or bank statement with the descriptor PADDLE.NET*.

5. Free tier

The Free plan is provided free of charge, indefinitely, within the limits published at /pricing. The Operator may adjust Free plan limits with prior notice; existing accounts are notified by email before any reduction takes effect.

6. Acceptable use

Your use of the Service is governed by the Acceptable Use Policy. Violations may result in suspension or termination of your Account without refund.

7. Service availability

The Operator makes commercially reasonable efforts to keep the Service available but does not guarantee uninterrupted operation. No formal Service Level Agreement is provided unless agreed in writing for Business-tier customers.

Planned maintenance is announced in advance via the in-app dashboard or via email to active subscribers.

8. Intellectual property

The Service, including software, source code, design, documentation, logos, and trademarks, is owned by the Operator and protected by applicable copyright, trademark, and intellectual property law.

You retain all rights to the data you submit (monitor names, ping payloads, configurations). You grant the Operator a limited, non-exclusive licence to process this data solely for the purpose of providing the Service.

9. User data and content

You retain ownership of your data at all times. The Operator processes it on your behalf as described in the Privacy Policy. You are responsible for the lawfulness of the data you submit, including compliance with applicable data protection laws regarding any personal data you choose to include in monitor names or ping payloads.

10. Termination

You may terminate your Account at any time from the dashboard. Termination of a paid plan stops future billing; no pro-rated refund is owed for the current billing period (subject to the Refund Policy for first-time subscriptions).

The Operator may suspend or terminate your Account for material breach of these Terms, including violations of the Acceptable Use Policy, non-payment, or fraudulent activity. In serious cases (illegal use, security threats) suspension may be immediate.

Upon termination your data will be retained for 30 days to allow for re-activation, after which it will be permanently deleted, except where retention is required by law (e.g. tax records under Polish accounting regulations - 5 years).

11. Limitation of liability

To the maximum extent permitted by applicable law, the Operator's total aggregate liability arising out of or related to the Service shall not exceed the amount paid by you for the Service in the twelve months preceding the event giving rise to the claim, or USD 100, whichever is greater.

The Operator is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business, goodwill, or other intangible losses, arising out of your use of or inability to use the Service.

12. Warranty disclaimer

The Service is provided "as is" and "as available", without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation, to the maximum extent permitted by applicable law.

13. Indemnification

You agree to indemnify and hold harmless the Operator from any claim, damage, loss, or expense (including reasonable legal fees) arising out of your breach of these Terms, your violation of any law, or your infringement of any third party rights.

14. Changes to these Terms

The Operator may amend these Terms from time to time. Material changes will be communicated to active subscribers by email at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

15. Governing law and jurisdiction

These Terms are governed by the laws of the Republic of Poland. Any disputes arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the Polish common courts competent for the Operator's registered office.

Where applicable mandatory consumer protection law of the User's place of residence grants additional rights, those rights are preserved.
